NotePi Terms of Service

1. Acceptance of Terms

By accessing or using NotePi (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the Terms, you must not use the Service.

2. Service Description

NotePi is a subscription-based note-taking platform that leverages artificial intelligence to analyze your entries, generate daily summaries, and track your progress.

3. Accounts & Eligibility

• You must be at least 13 years old and legally capable of forming a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• Creating multiple accounts to circumvent free-trial limits or other restrictions is strictly prohibited. We reserve the right to suspend or terminate related accounts and delete associated data.

4. Subscriptions & Billing

• The Service offers a Free plan and an optional paid subscription known as NotePi Plus.
• Subscription fees are billed in advance on a monthly (or annual, where offered) basis and are non-refundable once charged, except where required by law.
• Your subscription will automatically renew unless cancelled before the end of the current billing cycle.
• We may change subscription pricing with at least 30 days' notice. Continued use after the new price takes effect constitutes acceptance.

5. Free Trial

New users may be eligible for a one-time free trial of NotePi Plus. Abuse of the free-trial program through multiple account creation, temporary email addresses, or other means is forbidden and may lead to immediate termination without notice.

6. User Content

• You retain ownership of your notes and other content ("User Content").
• By submitting User Content, you grant NotePi a worldwide, non-exclusive license to store, display, and process your content as necessary to operate the Service (including AI processing).
• You are solely responsible for your User Content and for ensuring it does not violate any laws or third-party rights.

7. Prohibited Conduct

• Reverse-engineering, scraping, or attempting to access the Service other than through our published interfaces.
• Uploading malicious code, or content that is unlawful, hateful, or infringing.
• Using the Service for high-risk or unlawful activities, or to develop competing products.

8. Intellectual Property

The Service, including all content, trademarks, and software (excluding User Content), is the property of NotePi or its licensors and protected by intellectual-property laws.

9. Termination

We may suspend or terminate your account at any time, with or without notice, if you violate these Terms or if necessary to comply with law, protect users, or address security issues. Upon termination, your right to use the Service will immediately cease.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, NotePi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or profits, whether based on warranty, contract, tort, or any other legal theory.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to the Service shall be resolved exclusively in the state or federal courts located in Delaware.

13. Modification of Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after such changes constitutes acceptance of the new Terms.
